TSOC will take ownership of all the aspects associated with the day to day management of discretionary share plans as well the All-Employee Share Incentive Plan. Each client will have access to a dedicated client manager, supported by the TSOC team who will be responsible for the administration of its share plans in accordance with the terms of a service level agreement.
Full Outsource Service includes:
Implementation
Reviewing Plan Rules, historical data cleansing, agreeing standard report and documentation formats, and liaising with the client’s internal departments, brokers, registrars and external advisors;
Grants
Preparation and distribution of all option/award documentation, monitoring of ABI guidelines and HMRC approved limit compliance;
Ongoing Management
Monthly updates of the client’s Share Plans Register including leaver notification and lapses;
Financial/Tax Reporting
Provision of monthly, quarterly and yearly reports and preparation and submission of HMRC tax returns;
Exercises
Testing eligibility, processing of exercise requests, calculation of Income Tax and NICs liability (including reciprocal deductions for overseas participants), forward instruction to company broker and/or Trustees, preparation of Board Minutes, SH01’s and Letter of Wishes to Trustees; and
Communication With Participants
Employee education via presentations and written communication, provision of a participant helpline and on-line portal.
